1. Acceptance of Terms

By accessing and using the services provided by HQM LLC, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you should not use our services.

2. Description of Services

HQM LLC provides computer integrated systems design, professional technical consulting, and related services in the field of computer systems design and technical services. Our services include but are not limited to:

• Custom computer integrated systems design and architecture
• Technical consulting and strategic guidance
• Enterprise integration solutions
• System implementation and deployment
• Ongoing support and maintenance services

3. Service Agreements

Specific services will be provided under separate written agreements that detail the scope of work, deliverables, timelines, and compensation. These service agreements will supplement and incorporate these Terms of Service by reference.

4. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information as requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes and in accordance with these terms
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorized access to our systems or networks
• Comply with all applicable laws and regulations

5. Intellectual Property Rights

All content, materials, and intellectual property provided by HQM LLC, including but not limited to software, documentation, designs, and methodologies, remain the property of HQM LLC unless otherwise specified in a written agreement.

Upon full payment for services, clients receive the rights specified in their service agreement. Any custom work product created specifically for a client will be subject to the ownership terms outlined in the applicable service agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services and continues for a period of five years thereafter.

7. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of issuance unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• Services may be suspended for accounts with overdue balances
• All fees are non-refundable unless otherwise stated in the service agreement

8. Warranties and Disclaimers

HQM LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Services are provided AS IS without any other warranties, express or implied
• We do not warrant that services will be uninterrupted or error-free
• We do not guarantee specific results or outcomes
• Client is responsible for maintaining backups of their data

9. Limitation of Liability

To the maximum extent permitted by law:

• HQM LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim
• We are not liable for any loss of data, profits, revenue, or business opportunities
• These limitations apply regardless of the legal theory of liability

10. Indemnification

You agree to indemnify and hold harmless HQM LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these terms.

11. Termination

Either party may terminate services according to the terms specified in the applicable service agreement. Upon termination:

• Client remains responsible for payment of all services rendered prior to termination
• HQM LLC will provide any deliverables completed as of the termination date
• Confidentiality obligations continue as specified in these terms
• Both parties will return or destroy confidential information as requested

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations are unsuccessful
• Binding arbitration in accordance with the rules of the American Arbitration Association
• Venue for any legal proceedings shall be in San Bernardino County, California

14. Modifications to Terms

HQM LLC reserves the right to modify these Terms of Service at any time. We will notify clients of material changes via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated terms.

15. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms of Service, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and HQM LLC regarding the use of our services and supersede all prior agreements and understandings.
